1. The service

VORTZ is operated by VERGS PARTICIPAÇÕES, CNPJ (Brazilian company tax ID) 59.867.173/0001-54. Starting from a news link or from automatic story ideas (Google Trends and public news agencies), VORTZ uses artificial intelligence to rewrite the story in the voice and editorial line you set up, creates designs with your brand and publishes them, right away or scheduled, to your Instagram and to the WhatsApp Channel you connect.

AI-generated text may contain errors. VORTZ instructs the AI to use only the facts in the source text and to credit the source, but reviewing before publishing is up to you.

2. Account and access

• The account is created by purchasing on Kiwify or Stripe. Access is by email and password; the password is set with a 6-digit code sent to the buyer's email, and the same kind of code is used to recover it.
• You are responsible for who has access to the account and to the registered email, and for the actions taken from them.
• You must be 18 or older, or act on behalf of a company with the authority to do so.

3. Plan, quota and payment

• The plan costs R$ 197 per month through Kiwify, or R$ 157.60 per month (20% off) through Stripe, and includes all automations: Instagram, WhatsApp Channel, automatic story ideas and news agencies. If you subscribed through Kiwify, you can switch to Stripe in the dashboard; the Kiwify subscription ends at the close of the period already paid, with no double charge.
• The quota is 150 AI articles per month. In the first 7 days of your first subscription, the quota is 30 articles; from day 8 on, the full quota applies. Unused quota does not roll over to the next month.
• The News site add-on, when launched, will be purchased and billed separately.
• There is no free trial. Billing is recurring until you cancel. Price changes will be announced at least 30 days in advance and apply from the next charge.

4. Guarantee, cancellation and suspension

• 7-day guarantee: on your first purchase, you can ask for a full refund within 7 days, with no need to give a reason (Código de Defesa do Consumidor, or CDC, Brazil's Consumer Protection Code, art. 49), through Kiwify, or through the dashboard if you subscribed through Stripe.
• Cancellation: at any time, through Kiwify or the dashboard, depending on where you subscribed. The service continues until the end of the period already paid, and there is no fee.
• Late payment: the service continues for 5 days, with a notice in the dashboard and by email. After that, the account is suspended: the dashboard opens in read-only mode and nothing is published until payment is made.
• Refund or payment dispute (chargeback): the account is suspended immediately.
• After cancellation: within 30 days we disconnect WhatsApp and delete the Instagram tokens and the images; articles stay available for export for 90 days and are then deleted.

5. Responsibility for content

You are the editor and are responsible for what you publish with VORTZ, including what the AI generated and you approved or left scheduled. This includes:

• respecting copyright, image rights and trademark rights, and crediting your sources;
• using only photos and logos you have the right to use;
• not publishing content that is false, defamatory or discriminatory, that incites violence or that violates election law;
• for political or election content, following the rules of Brazil's Electoral Courts, including labeling AI-made content when required.

We may remove or block content and suspend accounts that violate these terms or the law, or when there is a court order.

6. Instagram and other networks

Publishing to Instagram uses Meta's official API and requires a professional account (Business or Creator). You must follow Instagram's Terms of Use and Community Guidelines. Meta may limit or change the API, apply publishing limits (currently 100 posts per account every 24 hours) or restrict your account on its own; VORTZ does not control those decisions.

7. WhatsApp: read carefully

• We recommend using a dedicated number that is neither your personal number nor your company's customer service number.
• Before connecting, the dashboard asks for your express acceptance of this risk. By accepting, you take on the risk of the number being blocked.
• Changes made by WhatsApp may stop channel posting for all customers. We will do our best to restore it, but we do not guarantee the feature will keep existing.
• An interruption or end of WhatsApp posting does not entitle you to compensation. If the feature becomes permanently unavailable, you can cancel your subscription with no fee.

8. Prohibited uses

• Sending spam, unsolicited bulk messages or chain messages.
• Trying to access other customers' data, getting around the quota or the technical limits, or reverse engineering the platform.
• Reselling access or using one subscription for several brands without getting an account for each one.
• Using VORTZ for any illegal activity.

9. Intellectual property

The content you upload (brand, logo, text, images) remains yours; you grant us a license only to process and publish it for you while you use the service. You may freely use the text and designs generated for your account, subject to third-party rights in the source story. The platform, the design templates, the code and the VORTZ brand belong to VERGS PARTICIPAÇÕES.

10. Availability and limits of liability

We work to keep VORTZ available, but the service is provided as is and depends on third parties (Meta, WhatsApp, AI providers, hosting), so we do not guarantee uninterrupted operation. To the extent permitted by law, the total liability of VERGS PARTICIPAÇÕES is limited to the amount you paid in the 12 months before the event, and we are not liable for lost profits or for account blocks decided by social networks. Nothing in these terms removes the rights the Código de Defesa do Consumidor guarantees you.

11. Changes

We may update these terms. Significant changes will be announced by email or in the dashboard at least 15 days in advance. If you do not agree, you can cancel before the change takes effect.

12. Governing law and contact

These terms are governed by Brazilian law. The courts of the consumer's place of residence have jurisdiction. Questions and requests: fale@vortz.com.br.
